Job Description

Cozen O’Connor is seeking an attorney with extensive private equity and private real estate investment fund formation experience to join the Corporate Practice Group in the Philadelphia or New York office. Ideal candidates will have at least seven years of experience assisting clients in all aspects of fund formation, private placements, and securities regulation (including Securities Act of 1933, Investment Advisers Act of 1940 and Investment Company Act of 1940). Ideal candidates will have represented venture capitalists, private equity firms, and hedge fund managers, and family offices in a range of transactions. Experience with all aspects of investment fund structuring, including fund terms and conditions, investor negotiations, as well as day-to-day fund operations preferred. Excellent academic credentials required. Admission to respective state bar required.

Cozen O’Connor’s Corporate Practice serves a broad range of companies from family-owned to Fortune 500. We have a particularly impressive track record serving so-called “middle-market” firms, businesses that gross between $50 million and $1 billion in annual revenue. The middle market is growing faster, producing more jobs, and attracting more capital than any other segment of the U.S. economy. As a result, middle-market companies deserve top corporate lawyers who understand their potential, are attuned to their specific needs and challenges, and are willing to make a long-term commitment to their growth.

The salary range for this position is $300,000-$390,000 (this salary range is for NY only) and represents the Firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors, including but not limited to, the candidate’s relevant experience and qualifications.
