Robinson+Cole, a Vault "Top Ranked" Am Law 200 firm, seeks an associate to join the Capital Markets team in its New York office.
Robinson+Cole's Capital Markets team represents clients in a broad range of private and public securities transactions; 33” and 34” Act filings; SPACs; des-SPACs; initial and follow-on public offerings, mergers + acquisitions; and cross-border transactions between the U.S. and Asia.
Qualified candidates will have two to five years of experience representing issuers and/or underwriters in capital markets transactions, including initial public offerings, follow-on public offerings, registered direct offerings, ATM offerings, PIPE transactions, and/or SPAC IPOs and de-SPACs. Candidates should have experience listing securities on NASDAQ/NYSE and/or OTCQB/QX; working with the SEC, FINRA, and NASDAQ/NYSE; preparing ’33 and ’34 Act filings; and representing issuers and placement agents in private offering transactions and corporate governance matters. SPAC and de-SPAC experience is a plus, but not a requisite. Candidates should work well as part of a team and enjoy a fast-paced work environment. Admission to the New York or Connecticut bar is strongly preferred for this position. Please note that all R+C attorneys must be admitted in the state of their primary office location. Top academic and transactional credentials, excellent writing, research, negotiation, and communication skills, including Mandarin language skills, are also required.
Base salary will be determined by several components including but not limited to the individual's class year, years of experience, skills, qualifications, and office location. New York Applicants: Please note that the target base salary range for this position is $185,000 to $202,500.
